With the amendments to the Corporate Governance Communiqué of the Capital Markets Board (“CMB”) numbered II-17.1, published in the Official Gazette dated 2 October 2020, in the annual reports of publicly traded companies, the CMB has made it obligatory to disclose information on whether the sustainability principles are applied, if not, the detailed explanation and the effects of not fully complying with these principles on enviromental and social risk management in order to ensure that the basic principles (Sustainability Principles Compliance Framework) that are expected to be disclosed while conducting the Environmental, Social and Corporate Governance (“ESG”) studies of publicly traded companies can be shared with the stakeholders and is envisaged that the implementation will start with the annual reports of 2020.
Later in the process, the CMB has decided to use a standard Sustainability Report format for the sustainability disclosures to be made on the Public Disclosure Platform (“PDP”) within the scope of sustainability principles compliance framework by the companies whose shares are traded on the Main Market, Star Market, and Sub-Market of the Stock Exchange starting from 2022 annual reporting.
