Our Company started working on the Corporate Governances Principles which were first published on July 2003 by Capital Markets Board (“CMB”), immediately after the publication of the principles. As of the end of 2004, our Company completed its first works regarding compliance with the Corporate Governance Principles, and then has complied with all the updates made.
In this framework, our Company has fully reflected the concepts of equality, transparency, accountability and responsibility which form the basis of corporate governance, to its management approach.
Our Company achieved full compliance with the compulsory principles stipulated and most of the non-compulsory principles in the Corporate Governance Communiqué numbered II-17.1, which published in the Official Gazette by CMB on 3 January 2014.
Although full compliance is aimed with respect to non-compulsory principles which have not yet been harmonized, our Company has not yet achieved full compliance due to current implementation difficulties, periodic changes regarding the Company, and ongoing discussions on the implementation of some principles both in our country and on the international platform.
Starting from 2019, “Corporate Governance Compliance Report” (“CGCR”) and “Corporate Governance Information Report” (“CGIF”) have been started to be prepared pursuant to the CMB decision numbered 2/49 and dated 10 January 2019 in accordance with the Corporate Governance Communiqué numbered II-17.1.
Explanations regarding compliance with corporate governance principles and voluntary principles that have not yet been complied with is included in the relevant sections of the Corporate Governance Compliance Report” (“CGCR”) and “Corporate Governance Information Report” (“CGIF”).
